Opening a branch in Malta
A company constituted outside Malta which sets up a branch or a place of business in Malta must register with the Malta Business Registry as an Oversea Company. This includes instances when the company has an office and/or a permanent establishment in Malta. It could also include instances when the non-Maltese company transfers its place of effective management (POEM) to Malta, as this could be deemed to result in a place of business in Malta.
Seed's corporate and tax team work together to, firstly understand the client's needs, and advise what steps need to be taken in order for the non-Maltese company to be registered in Malta.
As in most transactions, tax plays an extremely important part, and our tax team advises on the tax implications of setting up a branch in Malta - it is important to note that these implications differ depending on whether the foreign company has an office and/or a permanent establishment in Malta, or is transferring its POEM to Malta. The tax implications of these different scenarios could differ significantly, and our tax team ensures that the client is aware of these implications and remains compliant on an annual basis depending on the various forms which need to be filed, both at the Registry but also with the Tax Authorities.
